Section 1: Introduction & Acceptance

1.1. This Affiliate Program Agreement ("Agreement") governs your participation in the affiliate program ("Program") operated by Results Project Management (RPM), trading as ReallyDoing.it ("Company", "we", "us", or "our").

1.2. By submitting an application or participating in the Program, you ("Affiliate", "you") agree to be bound by all terms and conditions outlined herein. If you do not accept these terms, you may not participate in the Program.

1.3. This Agreement forms a legally binding contract under Dutch law pursuant to Article 6:217 of the Dutch Civil Code (Burgerlijk Wetboek).

Section 2: Application & Eligibility

2.1. Applications must be submitted via the designated signup channel (e.g., the automated portal).

2.2. We reserve the right, at our sole discretion, to accept or reject any application for any reason, including but not limited to channels containing explicit, deceptive, unlawful, or discriminatory content.

2.3. Participation is strictly restricted to legal entities or natural persons operating in a professional or commercial capacity (B2B) who have reached the age of 18.

Section 3: Commission, Tracking, VAT & Self-Billing Provisions

3.1. Commission Structure:

  • Recurring Subscriptions: Affiliates earn a 20% recurring commission on subscription payments made by Referred Customers for their first 12 consecutive months across eligible products (AI Brains, AI Literacy Certification, or Execution App).
  • One-Time Products: Affiliates earn a 20% single commission on standalone, one-time sales (e.g., AI Literacy Certification standalone).
  • Commissions are calculated strictly on the net transaction amount, excluding Value Added Tax (VAT / BTW), chargebacks, credits, and customer refunds.

3.2. Cookie Tracking & Attribution:

  • Sales are tracked via tracking cookies with a 30-day cookie window on a last-click attribution basis.
  • If a prospective customer clears their browser cache, uses ad-blocking software, or rejects marketing cookies on ReallyDoing.it (pursuant to GDPR/ePrivacy cookie consent rules), Company is not liable for untracked referrals.

3.3. Payment Terms & Thresholds:

  • Minimum Payout Threshold: Commissions accrue until the Affiliate reaches a minimum balance of €50.00. Balances under €50.00 roll over to the following payout period.
  • Payout Schedule (Net-30): Commissions are disbursed on a Net-30 schedule following the end of each calendar month. This holding period allows for statutory consumer withdrawal periods (14 days under EU Directive 2011/83/EU) and payment processing clearance.
  • Payout Currency & Channel:All payouts are processed in Euros (€) via SEPA bank transfer or designated electronic payment processor. Any cross-border wire or currency exchange fees assessed by the Affiliate's bank are borne by the Affiliate.

3.4. Dutch Tax, VAT (BTW) & Self-Billing Agreement:

Pursuant to Article 35a, paragraph 2 of the Dutch Turnover Tax Act 1968 (Wet op de omzetbelasting 1968) and European VAT Directive 2006/112/EC:

  • Self-Billing Consent: By participating in the Program, Affiliate explicitly authorizes Company to issue self-billed invoices (reverse invoices / self-billing) on behalf of the Affiliate for all accrued commissions. Affiliate agrees not to issue separate sales invoices to Company for commission payouts.
  • Affiliates Established in The Netherlands: Affiliates operating as Dutch tax entities (ondernemer) must provide a valid Chamber of Commerce (KvK) number and Dutch VAT Identification Number (btw-id). Applicable Dutch turnover tax (21% BTW) will be added to the net commission payout.
  • EU Cross-Border Affiliates (VAT Reverse-Charge):For business Affiliates established in other EU member states, the VAT reverse-charge mechanism (btw verlegd) applies pursuant to Article 196 of EU VAT Directive 2006/112/EC. Affiliate must supply a valid, VIES-verified VAT number. The self-billed invoice will explicitly state "VAT Reverse-Charged / BTW verlegd".
  • Non-EU Affiliates: Affiliates established outside the EU are paid net commissions without EU VAT. Non-EU Affiliates are solely responsible for determining, reporting, and remitting any local taxes or sales taxes in their home jurisdiction.
  • Duty to Verify: Affiliate must immediately notify Company in writing of any changes to its tax status, KvK registration, or VAT liability.

3.5. Refunds & Chargeback Clawbacks: If a Referred Customer cancels, receives a refund, or initiates a credit card chargeback, any credited commission for that transaction will be deducted from future commission balances or invoiced back to the Affiliate.

Section 4: Promotional Guidelines & Brand Protection

4.1. Honest Representation: Affiliates must represent ReallyDoing.it accurately and truthfully without deceptive or exaggerated performance claims.

4.2. Paid Search & Brand Bidding Restrictions: Affiliates are strictly forbidden from bidding on Company trademarks, brand names ("ReallyDoing.it", "ReallyDoing", "Results Project Management"), misspellings, or variations on paid search engines (e.g., Google Ads, Bing Ads).

4.3. Anti-Spam Mandate: Unsolicited commercial electronic communications (spam) are strictly prohibited under Article 11.7 of the Dutch Telecommunications Act (Telecommunicatiewet).

Section 5: International Advertising & Endorsement Compliance

5.1. United States Compliance (FTC 16 CFR Part 255): Affiliates targeting US consumers must clearly and conspicuously disclose their material relationship with Company directly adjacent to affiliate links using explicit labels such as #ad, #sponsored, or "Paid Affiliate Link" placed above the fold or prior to link interaction.

5.2. United Kingdom Compliance (CMA & ASA CAP Code): Affiliates targeting UK consumers must display prominent labels such as "Ad" or "Advertisement" at the start of posts or videos in compliance with ASA requirements.

5.3. EU Compliance (Unfair Commercial Practices Directive 2005/29/EC): Concealing commercial intent constitutes a misleading commercial practice across all EU member states. Affiliates must clearly state their commercial affiliation.

5.4. Right of Audit & Immediate Termination: Non-compliance with international disclosure mandates constitutes a material breach. Company reserves the right to immediately terminate the Affiliate's account, forfeit accrued commissions, and seek full indemnification for any third-party fines or regulatory sanctions incurred.

Section 6: Limitation of Liability & Indemnification

6.1. To the maximum extent permitted by Dutch law, Company shall not be liable for indirect, special, or consequential damages arising from Program participation.

6.2. Affiliate agrees to indemnify, defend, and hold harmless Results Project Management (RPM) and ReallyDoing.it against any third-party claims, liabilities, damages, or fines arising from Affiliate's breach of this Agreement, deceptive advertising, or failure to comply with local privacy or disclosure regulations.

Section 7: Term, Termination & Jurisdiction

7.1. Either party may terminate participation at any time upon written notice (including email).

7.2. This Agreement is governed exclusively by the laws of The Netherlands.

7.3. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent court in Gelderland / Arnhem, The Netherlands.
